1. Introduction
Pinoy Digi Agri Mart (“Platform”) is committed to creating a safe, transparent, and fair marketplace for farmers, cooperatives, and partner vendors.
This Vendor Policy outlines the legal responsibilities, operational guidelines, and ethical standards required from all sellers (“Vendors”) on the Platform.
By registering as a Vendor, you agree to follow all relevant Philippine laws and this Vendor Policy.
2. Legal Compliance Requirements
All Vendors must comply with applicable laws, including but not limited to:
2.1 Department of Trade and Industry (DTI)
- Register your business name with DTI (for sole proprietors) or SEC (for corporations or cooperatives).
- Secure a Mayor’s Permit/Business Permit in your locality.
2.2 Bureau of Internal Revenue (BIR)
- Register with the BIR and issue valid Sales Invoice or Official Receipt when required.
- Comply with tax declarations applicable to your business.
2.3 Consumer Act of the Philippines (RA 7394)
Vendors must:
- Ensure all products sold are safe and meet quality standards.
- Provide truthful product information.
- Honor warranties, returns, and refunds as required by law.
- Avoid false, misleading, or deceptive marketing.
2.4 E-Commerce Act (RA 8792)
- Vendors must provide accurate business identification, product details, pricing, and communication channels.
- Electronic documents must not be falsified or tampered with.
2.5 Data Privacy Act (RA 10173)
Vendors must:
- Protect customer personal data.
- Use customer information only for order fulfillment.
- Never misuse, sell, or share customer data without consent.
3. Vendor Eligibility
To become a Vendor, you must provide:
- Valid Government ID (for individuals)
- DTI/SEC registration documents
- BIR registration (if available)
- Business permit (if available)
- Cooperative Certificate (if applicable)
- Active contact number and email
- Bank account or e-wallet details for payouts
Pinoy Digi Agri Mart reserves the right to approve or reject vendor applications.
4. Product Listing Requirements
4.1 Product Accuracy
Each listing must include:
- Correct and complete product name
- Real photos (no stolen images)
- Accurate description
- Updated prices
- Net weight/unit of measurement
- Expiration date (for food products)
4.2 Prohibited Items
Vendors may NOT sell:
- Illegal, counterfeit, or stolen goods
- Food products without proper permits (if required)
- Products that violate agriculture or food safety laws
- Hazardous materials not authorized for sale
- Items prohibited by DTI or national law
A complete list may be updated periodically.
5. Pricing and Billing
5.1 Price Tag Law Compliance (RA 7394)
All products must clearly show:
- Actual selling price
- Unit price (if applicable)
Hidden charges, misleading prices, or bait-and-switch tactics are prohibited.
5.2 Receipts
If your business is BIR-registered:
- Issue an Official Receipt or Sales Invoice for transactions upon customer request.
6. Orders, Fulfillment & Logistics
6.1 Order Processing
Vendors must:
- Confirm orders promptly
- Prepare items as described
- Follow scheduled pickup or delivery timelines
- Coordinate with Pinoy Digi Agri Mart logistics (if applicable)
6.2 Packaging Standards
- Use secure, clean, and appropriate packaging
- Follow food safety standards for fresh and perishable items
6.3 Delivery Compliance
Vendors must follow:
- Agri-logistics guidelines
- Proper documentation for deliveries
- Cold-chain handling when required
7. Return, Refund & Replacement Policy
Vendors must comply with DTI and RA 7394 requirements:
Customers may request returns/replacements if:
- The item is damaged or spoiled
- The item is incorrect
- The item is counterfeit or misrepresented
- The item does not match the listing
- There is a quality or safety issue
Non-Returnable Items (unless defective):
- Fresh produce
- Made-to-order or custom items
Vendors must honor valid return/refund requests within 7 days, unless otherwise required by law.
8. Vendor Conduct and Responsibilities
Vendors must:
- Maintain integrity and professionalism
- Respond to customer inquiries within reasonable time
- Avoid abusive or inappropriate behavior
- Not attempt to transact outside the platform
- Not manipulate ratings, feedback, or platform systems
9. Payments & Payouts
- Vendor earnings will be released based on the Platform’s payout schedule.
- Deductions may include platform fees, transaction fees, or penalties.
10. Vendor Suspension & Penalties
Pinoy Digi Agri Mart may suspend, restrict, or terminate vendor access for:
- Selling prohibited items
- Fraudulent or deceptive activities
- Repeated customer complaints
- Failure to fulfill orders
- Non-compliance with Philippine laws
- Violating platform policies
11. Intellectual Property
Vendors must ensure:
- They own or have rights to the images, brands, and content they upload
- No copyrighted material is used without permission
12. Limitation of Liability
Pinoy Digi Agri Mart is not liable for:
- Vendor negligence
- Defective or harmful products sold by Vendors
- Losses caused by Vendor misrepresentation
13. Amendments
Pinoy Digi Agri Mart may update this Vendor Policy at any time.
Vendors will be notified of significant changes.
14. Acceptance of Terms
By registering and selling on Pinoy Digi Agri Mart, you acknowledge that you have read, understood, and agreed to this Vendor Policy.
